Bookello Pulse Terms of Service

These Terms of Service (“Terms”) govern the use of Bookello Pulse, a QR-based ordering, payment, and service management platform operated by Bookello.life Ltd. By registering, accessing, or using Bookello Pulse, you agree to be bound by these Terms.

1. Definitions

Bookello Pulse — The digital platform that enables QR ordering, digital menus, payments, order management, service requests, reporting, and venue operations.

Bookello — Bookello.life Ltd, the owner and operator of Bookello Pulse.

Vendor — Any restaurant, bar, hotel, apartment, stadium vendor, conference vendor, event organizer, or business using the platform.

Customer — Any person placing an order or requesting services through Bookello Pulse.

Payment Partner — Any approved payment service provider integrated with Bookello Pulse, including UrubutoPay.

2. Acceptance of Terms

By creating an account, accessing the platform, or using any Bookello Pulse services, you confirm that:

  • You have the authority to enter into this agreement.
  • The information you provide is accurate.
  • You agree to comply with these Terms.

3. Services Provided

Bookello Pulse may provide:

  • QR Code Ordering
  • Digital Menus
  • Customer Self-Ordering
  • Payment Integration
  • Kitchen, Bar, Waiter & Cashier Dashboards
  • Room Service Management
  • Stadium & Event Ordering
  • Service Requests
  • Sales Reporting & Operational Analytics

Bookello may add, modify, or discontinue features at any time.

4. Vendor Registration

To use Bookello Pulse as a Vendor, you must:

  • Provide accurate business information.
  • Maintain updated contact details.
  • Provide payment settlement details when required.
  • Comply with applicable laws and regulations.

Bookello reserves the right to approve, reject, suspend, or terminate any Vendor account.

5. Fees and Charges

Installation Fees. Installation fees shall be charged according to the current Bookello Pulse pricing schedule.

Bookello Pulse Platform Commission. The Vendor agrees that Bookello.life Ltd shall charge a 2% platform commission on the total value of successfully paid orders processed through Bookello Pulse. The Vendor acknowledges and agrees that:

  • The 2% platform commission forms part of the commercial agreement between the Vendor and Bookello.life Ltd.
  • The commission may be included in the customer’s total payment or invoiced to the Vendor monthly, depending on the commercial arrangement.
  • Bookello.life Ltd is authorized to market, license, and provide the Bookello Pulse platform to other businesses under the same or revised commercial terms.
  • Bookello.life Ltd reserves the right to revise its commercial model for future customers without affecting existing signed agreements unless otherwise agreed in writing.

Bookello will issue invoices where applicable.

Payment Processing Fees. Where payments are processed through UrubutoPay, the Vendor agrees to pay the applicable 4% payment processing fee charged by UrubutoPay on every successfully completed transaction. The Vendor acknowledges and agrees that:

  • The 4% payment processing fee belongs to UrubutoPay and is separate from Bookello’s 2% platform commission.
  • The Vendor authorizes Bookello.life Ltd and UrubutoPay to deduct or settle the applicable payment processing fees in accordance with their commercial agreement.
  • Payment processing fees are governed by the agreement between Bookello.life Ltd and UrubutoPay and may be updated in accordance with that agreement.
  • Bookello.life Ltd is not responsible for payment processing charges imposed by the payment partner.

6. Payments

Where payment services are integrated:

  • Payments may be processed through approved payment partners, including UrubutoPay.
  • Vendors are responsible for maintaining valid settlement accounts.
  • Vendors authorize the deduction or settlement of applicable payment processing fees.
  • Transactions processed through UrubutoPay shall be subject to a 4% payment processing fee, unless otherwise agreed in writing.
  • Bookello does not guarantee uninterrupted payment services.
  • Payment providers may impose their own terms, compliance requirements, and operating procedures.

7. Vendor Responsibilities

The Vendor agrees to:

  • Maintain accurate menus and pricing.
  • Fulfill customer orders promptly.
  • Ensure product quality and service standards.
  • Maintain inventory accuracy.
  • Comply with food safety and applicable laws.
  • Resolve customer complaints in good faith.

The Vendor is solely responsible for all products and services sold through the platform.

8. Customer Responsibilities

Customers agree to:

  • Provide accurate order information.
  • Use the platform lawfully.
  • Pay all applicable charges.
  • Not misuse or interfere with platform operations.

9. Intellectual Property

All rights, title, and interest in Bookello Pulse — including software, QR technology, dashboards, reports, branding, designs, source code, and documentation — remain the exclusive property of Bookello.life Ltd. No user may copy, modify, reverse engineer, sublicense, sell, distribute, or reproduce any part of the platform without prior written permission from Bookello.life Ltd.

10. Data and Privacy

Bookello may collect and process user information, order information, transaction information, and operational data for the purposes of service delivery, reporting, security, customer support, and platform improvement. Bookello will take reasonable measures to protect user data.

11. Service Availability

Bookello aims to provide reliable services but does not guarantee continuous availability, error-free operation, or uninterrupted access. Maintenance, upgrades, payment provider outages, or technical issues may temporarily affect service availability.

12. Limitation of Liability

To the maximum extent permitted by law, Bookello shall not be liable for loss of profits, business interruption, vendor disputes, customer disputes, payment provider failures, network outages, or indirect or consequential damages. The Vendor assumes full responsibility for products and services sold through the platform.

13. Suspension and Termination

Bookello may suspend or terminate access if a user:

  • Violates these Terms.
  • Provides false information.
  • Engages in fraud.
  • Uses the platform unlawfully.
  • Fails to pay applicable fees.

Upon termination, all outstanding financial obligations shall remain payable.

14. Modifications

Bookello may update these Terms from time to time. Continued use of the platform after updates constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by the laws of the Republic of Rwanda. Any dispute arising from these Terms shall first be resolved through good-faith negotiations before proceeding to the competent courts of Rwanda.
